Builder Agreement
Last updated: June 3, 2026. This agreement governs the relationship between CollabAI ("we", "us") and you ("Builder") when you list agents on the CollabAI Marketplace.
1. Eligibility
You must be at least 18 years old and legally able to enter contracts in your jurisdiction. Companies submitting on behalf of an organization warrant that the signing individual has authority to bind that organization.
2. Listing & approval
Submissions are reviewed by CollabAI admins. We may approve, reject, request changes, or extend an acquisition offer at our sole discretion. Approval places the agent in the public marketplace.
3. Revenue share & payouts
For paid agents, CollabAI collects subscription revenue from clients and pays the Builder 70% of net collected revenue per month. CollabAI retains 30% as the platform fee. Payouts are issued monthly in arrears via the payout method on your profile. Builders are responsible for taxes in their jurisdiction.
4. Intellectual property
You retain all ownership of your agent's source code, models, prompts, and assets. By listing, you grant CollabAI a non-exclusive, worldwide, royalty-free license to: (a) distribute the agent through the marketplace; (b) bundle it inside Control Tower installations for clients; and (c) reproduce your agent's name, description, screenshots, and demo URL for marketing purposes.
5. Builder warranties
You warrant that: (a) you own or have license to all components of the agent; (b) the agent does not infringe third-party rights; (c) the agent complies with the Platform Rules and all applicable laws (HIPAA, GDPR, GLBA where relevant); (d) you will provide reasonable support to clients who install your agent.
6. Suspension & termination
Either party may terminate this agreement with 30 days' notice. CollabAI may suspend or remove your listing immediately for Platform Rules violations, security incidents, or material client complaints. Unpaid earned revenue at termination remains payable on the next scheduled payout.
7. Liability
To the maximum extent permitted by law, CollabAI's total liability under this agreement is capped at the total fees paid to the Builder in the trailing 12 months. Neither party is liable for indirect, incidental, or consequential damages.
8. Governing law
This agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Disputes will be resolved by binding arbitration in Wilmington, DE.
9. Changes
CollabAI may amend this agreement with 30 days' notice. Continued use of the marketplace after the notice period constitutes acceptance. Material commercial terms (revenue share %) will not change retroactively for existing listings.
